These Terms of Use (“Terms”) govern your access to and use of the website, applications, browser extension, and related services provided by Dialector Inc (“Company,” “we,” “us,” or “our”), including our language-learning media player, subtitle tools, popup dictionary, word-saving and flip-card features, Chrome extension, and related functionality (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1. The Service
Dialector Inc provides tools designed to support language learning through media consumption, vocabulary capture, and study activities. The Service may include:

a language-learning media player;

subtitle tools, including dual or double subtitles;

dictionary and translation tools;
-
popup dictionary functionality;
-
tools that allow users to save words or expressions;
-
flashcard or flip-card review features;
-
browser-based tools, including a Google Chrome extension;
-
integrations or overlays that function alongside third-party media or streaming platforms, including Netflix.
We may add, remove, suspend, or modify features at any time.
2. Eligibility and Authorized Use
You may use the Service only if you are permitted to do so under this section.
(a) School Users
If you are using the Service through a school, district, university, teacher, or other educational institution (“School”), you may use the Service as an authorized student, educator, administrator, or other approved user, subject to any access rules, permissions, or limitations established by that School.
If you are a student under the age of majority in your jurisdiction, you may use the Service only where your School, teacher, parent, or legal guardian has provided any authorization, consent, or approval required by applicable law.
(b) Individual Consumer Users
If you are not using the Service through a School, you may use the Service only if you are at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract.
(c) School Representations
If you are a School, educator, district, or other institution enabling users to access the Service, you represent and warrant that you have obtained and will maintain all notices, permissions, consents, and authorizations required by applicable law for that access and for our provision of the Service in the educational context.
(d) Children and Supervision
The Service may be used by students in connection with authorized educational use. The Service is not intended for unsupervised direct consumer use by children where parental consent, school authorization, or other legal authorization is required but has not been obtained.
(e) Compliance With School Policies
If you access the Service through a School, you agree to comply with these Terms and any applicable School policies, classroom rules, or acceptable use requirements.
3. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may post the revised Terms on our website, update the “Last Updated” date above, or provide notice through the Service or by other reasonable means.
Your continued use of the Service after the updated Terms become effective means you accept the revised Terms.
4. Accounts
Some features of the Service may require an account. You agree to provide accurate, current, and complete information and to keep that information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly if you believe your account has been used without authorization.
We reserve the right to suspend or terminate accounts that violate these Terms or create risk or liability for us, our users, or third parties.
5. Paid Features, Billing, and Refunds
Some parts of the Service may be available for a fee, whether on a subscription or one-time purchase basis.
By purchasing a paid plan, you authorize us and our payment processors to charge you the applicable fees, taxes, and any other disclosed charges.
If your plan renews automatically, you authorize recurring charges until you cancel. You must cancel before the renewal date to avoid being charged for the next billing period.
Unless otherwise stated:

all fees are stated in US Dollars

payments are non-refundable except as required by applicable law;
-
we may change pricing prospectively with reasonable notice.
If you offer a free trial, you can add that here. Otherwise, this section can stay as written.
6. Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, educational, and internal non-commercial use, or for institutional educational use authorized by a School.
You may not:

copy, reproduce, distribute, publicly display, or create derivative works from the Service except as expressly permitted;

reverse engineer, decompile, or attempt to extract source code from the Service except where prohibited by law;

use the Service for unlawful purposes;
-
interfere with or disrupt the operation or security of the Service;

bypass technical limitations, access restrictions, or security protections;

use the Service to build a competing product or service;

use bots, scrapers, or automated means to access the Service in an unauthorized way.
7. Third-Party Platforms and Services
The Service may operate with or alongside third-party products, services, platforms, and websites, including Netflix, Google Chrome, and the Chrome Web Store.
You acknowledge and agree that:

your use of third-party services is governed by those third parties’ own terms and policies;

we do not own or control third-party platforms;
-
we are not responsible for third-party availability, content, business practices, or policies;

compatibility between our Service and any third-party platform may change or end at any time.
Platform Independence
Unless expressly stated otherwise, Dialector Inc is not affiliated with, endorsed by, sponsored by, or approved by Netflix, Google, or any browser platform. All third-party names, logos, and trademarks are the property of their respective owners.
8. Browser Extension Terms
If you use our Chrome extension, you agree that you will not use it to:

copy, record, reproduce, download, redistribute, or exploit protected audiovisual content except as permitted by law and by the applicable platform;
-
violate the terms of service of Netflix or any other platform used with the extension;
-
interfere with the technical operation, security, or business model of a third-party platform;
-
use the extension for piracy, unauthorized copying, or unlawful circumvention.
The extension is intended to support language learning through features such as subtitle display, word saving, flashcard-style review, and dictionary lookup.
9. Intellectual Property
The Service, including its software, design, branding, text, graphics, interfaces, databases, audiovisual elements, and other content provided by us, is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws.
Except for the limited license granted in these Terms, no right, title, or interest in the Service is transferred to you.
10. Licensed and Third-Party Content
The Service may display, include, process, or interact with subtitles, video, audio, translations, dictionary entries, metadata, and other content owned by us or by third parties.
Certain content made available through the Service is used under license, permission, or other authorization from rights holders. This includes, where applicable, content rights obtained from the Australian Children’s Television Foundation (ACTF) and Studio 100.
All rights in third-party content remain with the applicable rights holders unless expressly stated otherwise. Your use of such content must comply with these Terms, applicable law, and any usage restrictions communicated through the Service.
Nothing in these Terms grants you ownership of, or a right to redistribute, reproduce, publicly perform, or otherwise exploit, any licensed or third-party content except as expressly permitted by us or the applicable rights holder.
11. User Content and Learning Data
The Service may allow you to save words, vocabulary items, translations, flashcards, learning history, notes, lists, or other learning-related materials (“User Content” or “Learning Data”).
You retain ownership of any rights you have in your User Content. However, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, adapt, and display your User Content solely as necessary to operate, provide, maintain, improve, secure, and personalize the Service.
You represent and warrant that:

you own or have the necessary rights to submit or save the content;

your content does not violate any law or third-party rights;
-
your content does not contain malicious code or harmful material.
We may remove or restrict access to User Content that violates these Terms or may create harm or liability.
12. Learning Features Disclaimer
The Service may provide subtitles, dual subtitles, dictionary results, definitions, translations, saved vocabulary, flashcards, flip-card exercises, or other language-learning assistance.
These features are provided for general educational and informational purposes only. They may be incomplete, inaccurate, delayed, out of context, or unavailable. We do not guarantee that any translation, subtitle, definition, saved item, flashcard, or other learning output is accurate, complete, or suitable for any particular purpose.
You are responsible for reviewing and verifying any learning content before relying on it.
13. Acceptable Use
You agree not to use the Service to:

violate any law, regulation, or third-party right;
-
infringe intellectual property, privacy, publicity, or contractual rights;
-
harass, abuse, threaten, or harm others;
-
distribute malware, malicious code, or harmful material;
-
access accounts, systems, or data without authorization;
-
scrape or harvest data from the Service or other users without authorization;
-
interfere with the normal operation of the Service;
-
attempt to circumvent payment systems, geographic restrictions, content protections, or access controls in violation of law or third-party terms.
14. Student Data and School Use
Where the Service is provided through a School, we may process student information in order to provide the Service for educational purposes, subject to applicable law, our Privacy Policy, and any agreement we have with the applicable School or institution.
If a School or educator enables student access to the Service, the School or educator is responsible for obtaining any permissions, consents, notices, or approvals required by applicable law.
We may use student information only as reasonably necessary to provide, maintain, support, secure, and improve the educational use of the Service, as further described in our Privacy Policy and any applicable school agreement.

By using the Service, you acknowledge that we may collect, use, store, and process information as described in that policy.
16. Feedback
If you submit suggestions, comments, feature requests, or other feedback, you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use that feedback for any purpose without compensation or obligation to you.
17. Suspension and Termination
We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if:

you violate these Terms;

we are required to do so by law;

your use creates risk or possible legal exposure;

a feature, integration, or the Service itself becomes unavailable or impractical to provide.
You may stop using the Service at any time. If you have a paid subscription, cancellation will take effect according to the billing terms applicable to your plan.
Sections that by their nature should survive termination will survive, including provisions relating to ownership, disclaimers, limitation of liability, indemnification, and dispute resolution.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT:

THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;

THE SERVICE WILL REMAIN COMPATIBLE WITH ANY SPECIFIC DEVICE, BROWSER, PLATFORM, OR THIRD-PARTY SERVICE;

ANY LEARNING OUTPUT, INCLUDING SUBTITLES, DEFINITIONS, SAVED WORDS, OR FLASHCARDS, WILL BE ACCURATE OR COMPLETE;
-
ANY DEFECTS WILL BE CORRECTED.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIALECTOR INC, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

USD $100.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
20. Indemnification
You agree to defend, indemnify, and hold harmless Dialector Inc, its affiliates, licensors, service providers, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, judgments, awards, costs, and expenses, including reasonable legal fees, arising out of or related to:

your use of the Service;

your User Content;
-
your violation of these Terms;

your violation of any law or third-party right.
21. Governing Law and Disputes
These Terms are governed by the laws of Texas, United States, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in Austin, Texas, USA and you consent to the jurisdiction of those courts.
If you prefer arbitration instead of court litigation, this section should be revised for your jurisdiction.

23. Miscellaneous
These Terms constitute the entire agreement between you and Dialector Inc regarding the Service and supersede all prior or contemporaneous agreements regarding the same subject matter.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision is not a waiver of that provision.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
